Terms of Service
Effective date: May 30, 2026. These draft terms describe the rules for using MergeSentinel to support M&A technology and cybersecurity due diligence.
These terms are a business-ready draft and should be reviewed by qualified legal counsel before production use with customers.
1. The service
- MergeSentinel provides software for technology and cybersecurity diligence workflows, including project workspaces, questionnaire responses, evidence tracking, findings, FAIR assessment support, and report generation.
- The service is intended to support professional review and decision-making. It does not replace qualified legal, financial, cybersecurity, insurance, tax, accounting, or deal advisory judgment.
2. Accounts and access
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You may only access projects, evidence, reports, and organization data that you are authorized to access.
- We may suspend or restrict access if we believe an account is being used unlawfully, insecurely, or in violation of these terms.
3. Customer data
- You retain ownership of the project data, evidence, questionnaire responses, notes, findings, and other content you submit to MergeSentinel.
- You grant MergeSentinel permission to process customer data as needed to provide, secure, support, and improve the service.
- You are responsible for ensuring that you have the rights and authority to upload or process any target company, diligence, personal, confidential, regulated, or third-party information in the service.
4. AI-generated outputs and FAIR calculations
- Report narratives may be generated with assistance from AI based on the project data and evidence made available to the report generator.
- FAIR monetary values are calculated by backend application logic from configured document statuses and model assumptions. AI output may interpret those values but should not be treated as an independent valuation model.
- Reports, risk ratings, Annualized Loss Expectancy values, remediation ranges, and deal adjustment ranges are analytical estimates for professional review. They are not guarantees of loss, final valuation opinions, legal advice, insurance determinations, or investment recommendations.
5. Acceptable use
- You may not use the service to violate law, infringe rights, upload malicious code, attempt unauthorized access, interfere with service operations, reverse engineer restricted components, or misuse AI functionality.
- You may not submit secrets, passwords, access tokens, private keys, or other credentials into questionnaire answers, evidence notes, uploaded files, or prompts unless the service has expressly been configured to handle that type of data.
- You may not use generated reports as the sole basis for signing, terminating, renegotiating, pricing, insuring, financing, or closing a transaction.
6. Confidentiality and security
- Each party should protect confidential information using reasonable care and may use it only for purposes connected to the service or the applicable business relationship.
- MergeSentinel is designed with private workspaces and access controls, but you remain responsible for managing user access, data classification, and external sharing of exported materials.
7. Disclaimers and limitation of liability
- The service and outputs are provided on an as-is and as-available basis unless a separate signed agreement says otherwise.
- To the maximum extent permitted by law, MergeSentinel disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
- To the maximum extent permitted by law, MergeSentinel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
8. Changes and contact
- We may update these terms as the product, laws, and business model evolve. Material updates will be reflected by updating the effective date or providing reasonable notice where appropriate.
